Standard Maintenance Agreement

1.  This Agreement is made between the Customer as identified in Appendix A, hereinafter referred to as The User, and Precision Peripherals Ltd. (PPL).

2.  This Agreement applies to the equipment specified in Appendix A, hereinafter referred to as the Equipment, and supersedes any previous agreement.

3. This Agreement shall run for an initial period of twelve months and thereafter will continue until terminated by either party giving three months notice in writing to the other.

4. Subject to the conditions contained in this Agreement, Precision Peripherals Ltd. Undertakes to:

  • (a) Provide such maintenance calls during the Cover Hours specified in Appendix A as may be necessary to keep the Equipment functioning in accordance with its published specification. Response time is as specified for each item in Appendix A.
  • (b) Provide free of charge all the necessary replacement parts to keep the Equipment functioning in accordance with its published specification, subject to specific exclusions as detailed in paragraph 18.

5.  The hours during which maintenance calls can be made are as follows: Monday – Friday, 9:30 – 17:30, excluding Public Holidays.

6.  Precision Peripherals Ltd. shall at their own absolute discretion repair The Equipment either at the location specified in Appendix A or at their own premises.

7.  The User undertakes to pay the Annual Charge as specified in Appendix A plus VAT annually in advance and agrees that Precision Peripherals Ltd. is entitled to terminate this Agreement if payment is not made within thirty days of the due date.

8.  The User undertakes to operate the Equipment in accordance with the instructions contained in the Operators Manual for that equipment and agrees that the cost of repair of malicious damage or damage resulting from misuse of the Equipment is not covered by this Agreement.

9.  The User undertakes to promptly inform Precision Peripherals Ltd. of any malfunction of the Equipment.

10. The User agrees that this Agreement is only valid whilst the Equipment remains at the location specified in Appendix A.

11. The User undertakes to make the Equipment available for service on receiving reasonable notice of a service call and to provide reasonable facilities for the Service Engineer.

12. Precision Peripherals Ltd. Undertakes to give three months notice of any variation in the renewal charge for this Agreement. The User may, within twenty-one days of receiving such notification, give notice in writing of the termination of this Agreement on the date that the revised charge comes into effect.

13. Precision Peripherals Ltd. Reserve the right to terminate this agreement immediately should it be found that the Equipment on site differs from that listed in Appendix A or is found to be unserviceable at the time this Agreement was entered into.

14. The liability of Precision Peripherals Ltd. Is restricted to those undertakings entered into under this Agreement only and Precision Peripherals Ltd. Shall not be liable for any loss or damage arising directly or consequentially as a result of the malfunction or complete stoppage of the Equipment, but shall use its best endeavors to maintain the Equipment in good working order and rectify any malfunction as promptly as possible.

15. This Agreement does not cover repairs to the Equipment to rectify damage caused by fire, flood, theft or any other cause which is covered by the User's insurance, or, in the event of the User not having the relevant insurance, would be covered by the insurance which a reasonably prudent person could be expected to have.

16. Unless otherwise agreed in writing this Agreement shall in all respects be construed and operate as an English contract and in conformity with English law.

17. If at any time any question, dispute or difference whatsoever shall arise between The User and Precision Peripherals Ltd., upon, in relation to, or in connection with this Agreement, either may give to the other notice in writing of the existence of such question, dispute or difference and the same shall be referred to the arbitration of a person to be mutually agreed between the two parties.         
Service Descriptions

4 hour response, 09.00 -17.30, Annual Maintenance Contract
PPL engineer onsite within 4 working hours of call being placed with our control center. Includes all parts and labour required to maintain users printer to manufacturers specification. Service excludes Consumables and service related thereto. Cover excludes UK Bank Holidays.

8 hour response, 09.00 -17.30, Annual Maintenance Contract
PPL engineer onsite within 8 working hours of call being placed with our control center. Includes all parts and labour required to maintain users printer to manufacturers specification. Service excludes Consumables and service related thereto. Cover excludes UK Bank Holidays.

4+4 (8 working hour fix), 4 + 8 (12 working hour fix) & 8+8 (16 working hour fix)
Response time is as the 4 hour & 8 hour above however PPL ensure that the users printer is either made operable or a functionally equivalent loan provided within the agreed fix time. Note: This service is restricted to selected models.

Next day fix utilizing a ship kit
Response time is any time during the next working day but with the provision of a comprehensive ship kit or an equivalent exchange/loan printer at PPL’s discretion. The users printer is either made operable or a functionally equivalent loan provided by the ed of the next working day. Note: This service is restricted to selected models.

Pre-Contract Inspection

Unless otherwise agreed PPL will only accept onto maintenance printers which have been inspected by a PPL engineer and declared to be in acceptable condition. Charges for Pre-Contract Inspections are:

£X per site visit to include either:

Up to 5 desktop printers (Matrix, Thermal, Laser, InkJet) + an additional £X per unit thereafter.

Or

To include one floor standing machine (Band or Line Matrix Departmental Laser) + an additional £X per unit thereafter.

Standard Exclusions From PPL Contract Service

Unless otherwise specified, The PPL standard service agreements exclude:

  • All consumables, printmedia  and service relating thereto.
  • Manufacturer defined maintenance kits.
  • Any options not supplied as standard with the subject equipment.
  • Band Printer Print Bands.
  • Thermal Printer Print Heads and installation thereof.
  • Laser printer consumables as defined by the manufacturer and fuser units.
  • Dot matrix printer Print Heads.
  • Inkjet printer Print Heads.
  • Tektronix Solid Ink Phaser Printer Print Heads will be excluded from contract inclusion should it transpire that the user has operated the machine using non-Tektronix Ink. In such an event the customer will be offered the option of paying for the repair to the machine.
  • Any service and parts incurred as a result of operator misuse, abuse and use of the machine outside the manufacturers specification.
  • Precision Peripherals Ltd. Reserve the right to declare a Band Printer or Shuttle Matrix printer beyond economic repair in the event of a failure to the Shuttle Mechanism or Hammer Bank. In such event The User will be given the option of paying for the repair.
  • Precision Peripherals Ltd will not honor any agreement where it is apparent that any of the equipment had a fault at the time when it went onto contract (unless it has been declared and agreed).
  • Precision Peripherals Ltd reserves the right to charge for any parts that are required during the first 30 days of the contract coming into effect.
